Australian Law

1. About these terms
These Terms of Service (“Terms”) govern your use of the AECT Solutions website at aect.solutions and the services we provide. By using this website, requesting a quote, signing a Statement of Work, or paying an invoice, you accept these Terms.
In these Terms, “AECT”, “we”, “us” and “our” mean AECT Group Pty Ltd (ABN 44 659 415 326), trading as AECT Solutions and Space Focus Australia.
2. Engagement structure
These Terms apply alongside any specific engagement document — typically a Quote, Statement of Work (SoW), Service Agreement, Equipment Rental Agreement, or Training Agreement.
Where there is any inconsistency, the order of precedence is: (1) signed engagement document, (2) AECT Quote accepted by you, (3) these Terms, (4) any other communication.
3. Quotes & orders
- Quotes are valid for 30 days unless stated otherwise.
- An order is formed when you accept a Quote in writing (email is fine) or sign an engagement document.
- All prices are in Australian dollars (AUD), exclusive of GST unless stated.
- Payment terms are 14 days from invoice date unless agreed otherwise. Equipment rentals, training, and bookings may require a deposit or full payment in advance.
- Late payments accrue interest at the RBA cash rate plus 4% p.a., calculated daily.
4. Services we deliver
AECT may provide:
- Drone surveying, LiDAR scanning, and 3DGS capture under our CASA ReOC.
- Data processing — point clouds, DEM/DSM, contour, volumetric, Scan-to-BIM, digital twin.
- Equipment supply, rental, and rent-to-buy of XGRIDS, DJI Enterprise, and partner products.
- Training, masterclasses, and onboarding.
- HSEQ & ISO consulting (9001 / 14001 / 45001).
We perform our work with reasonable skill and care, in accordance with our ISO-aligned management system and applicable Australian standards.
5. Equipment rental
If you rent equipment from us, you agree:
- To use the equipment only for its intended purpose, in accordance with the manufacturer’s instructions and our handover briefing.
- To keep it secure, insured (where AECT does not provide cover), and free from misuse, modification, or unauthorised repair.
- That risk of loss, damage, theft, or destruction passes to you on collection or delivery and remains with you until return.
- To pay reasonable repair or replacement costs for damage beyond fair wear and tear, capped at the equipment’s replacement value.
- That the equipment remains AECT’s property at all times.
6. Drone & flight operations
Aerial work is performed under AECT’s CASA Remote Operator Certificate (ReOC) by licensed Remote Pilots. You agree to:
- Provide accurate information about the site, airspace, and operating environment.
- Notify us promptly of any restrictions, hazards, or controlled airspace constraints we may not be aware of.
- Allow us to refuse, delay, or modify operations on safety, weather, or regulatory grounds — at no penalty to AECT.
7. Your data & deliverables
- You retain ownership of the spatial data, imagery, and deliverables we capture or process for you, subject to payment of all fees.
- AECT retains ownership of our methods, templates, processing pipelines, and any pre-existing IP we use to deliver the work.
- Unless agreed otherwise, AECT may retain a sample, anonymised version of deliverables for portfolio, training, or quality-assurance purposes.
- We process your data in line with our Privacy Policy.
8. Acceptance & revisions
Deliverables are deemed accepted 7 days after delivery unless you raise a written exception within that window. Where deliverables genuinely fail to meet the agreed scope, AECT will recapture, reprocess, or remediate at no additional charge — consistent with our Quality Guarantee.
9. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, restricted, or modified.
Where AECT’s liability for breach of a non-excludable guarantee can lawfully be limited, our liability is limited (at our option) to:
- For services: re-supplying the services or paying the cost of re-supply.
- For goods: replacement, repair, or refund.
10. Liability cap
Subject to Section 9, our total liability arising out of or in connection with any engagement is limited to the fees you have paid AECT under that engagement in the 12 months immediately preceding the event giving rise to the liability.
Neither party is liable for indirect, consequential, or special loss, including loss of profit, revenue, opportunity, goodwill, or data — except to the extent caused by fraud, wilful misconduct, or breach of confidence.
11. Confidentiality
Each party will keep the other’s confidential information confidential and use it only for the purpose of the engagement. This obligation continues for 3 years after the engagement ends. It does not apply to information that is public, independently developed, or required to be disclosed by law.
12. Termination
- Either party may terminate for material breach if the breach is not remedied within 14 days of written notice.
- Either party may terminate for convenience on 14 days’ notice; you remain liable for work performed and reasonable wind-down costs incurred up to that point.
- Sections that by their nature should survive termination (e.g. liability, confidentiality, data retention, governing law) will do so.
13. Use of this website
You agree not to:
- Use this website to break the law, infringe IP, or harm others.
- Probe, scan, or test the vulnerability of the site without our prior written permission.
- Scrape, mirror, or republish substantial portions of the site without our consent.
Content on this site (text, images, video, code) is owned by AECT or licensed to us. You are welcome to share links and short quotations with attribution.
14. Governing law
These Terms are governed by the laws of Queensland, Australia. Any dispute will be heard in the courts of Queensland or the Federal Court of Australia.
